TORONTO, ON / ACCESSWIRE / January 23, 2023 / Tsodilo Resources Limited (TSX Venture Exchange:TSD) ('Tsodilo' or the 'Company') (TSX- V:TSD)(OTCQB:TSDRF)(FSE:TZO) is pleased to announce that it has negotiated a non-brokered private placement (the 'Private Placement') of 2,200,941 units of the Company (the 'Units') at a price per Unit of CDN $0.20, which will provide gross proceeds to the Company in the amount of CDN $440,188.20. Proceeds from the Private Placement will be used for the advancement of the Xaudum Iron Formation project in Botswana and for general corporate purposes and working capital.
Each Unit will consist of one common share in the capital of the Company ('Common Share') and one Common Share purchase warrant ('Warrant') of the Company, each such Warrant entitling the holder to purchase one Common Share of the Company for a period of 24 months from the date of closing at an exercise price of USD $0.20.
The Common Shares and the Warrants comprising the Units and the Common Shares underlying the Warrants will be subject to a four month plus a day hold period from the date of closing per applicable regulatory requirements.
A director of the Company subscribed for 100,000 Units. As a result, the Private Placement is a related party transaction (as defined under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ('MI 61-101'). The Company is relying on exemptions from the formal valuation and minority shareholder approval requirements available under MI 61-101. The Company is exempt from the formal valuation requirement in section 5.4 of MI 61-101 in reliance on section 5.5(a) of MI 61-101 as the fair market value of the Private Placement, insofar as it involves the director, is not more than the 25% of the Company's market capitalization. Additionally, the Company is exempt from minority shareholder approval requirement in section 5.6 of MI 61-101 in reliance on section 5.7(a) of MI 61-101 as the fair market value of the Private Placement, insofar as it involves the director, is not more than 25% of the Company's market capitalization.
Closing of the Private Placement is subject to, among other things, receipt by the Company of TSX Venture Exchange approval.
